AMENDMENTS TO SOME ARTICLES OF CIRCULAR NO. 119/2020/TT-BTC DATED DECEMBER 31, 2020 OF THE MINISTER OF FINANCE ON REGISTRATION, DEPOSITORY, CLEARING AND SETTLEMENT OF SECURITIES AND CIRCULAR NO. 58/2021/TT-BTC DATED JULY 12, 2021 OF THE MINISTER OF FINANCE ON GUIDELINES FOR SOME ARTICLES OF GOVERNMENT’S DECREE NO. 158/2020/ND-CP DATED DECEMBER 31, 2020 ON DERIVATIVES AND DERIVATIVE MARKET

Pursuant to the Law on Securities dated November 26, 2019;

Pursuant to the Law on amendments to Law on Securities, Law on Accounting, Law on Independent Audit, Law on State Budget, Law on Management and Use of Public Property, Law on Tax Administration, Law on Personal Income Tax, Law on National Reserves, and Law on Penalties for Administrative Violations dated November, 29 2024;

Pursuant to the Law on Identification dated November 27, 2023;

Pursuant to the Government's Decree No. 155/2020/ND-CP dated December 31, 2020 on elaboration of the Law on Securities;

Pursuant to the Government's Decree No. 158/2020/ND-CP dated December 31, 2020 on derivatives and derivative market;

Pursuant to the Government’s Decree No. 29/2025/ND-CP dated February 24, 2025 on functions, tasks, powers and organizational structure of the Ministry of Finance of Vietnam;

At the request of the President of the State Securities Commission;

The Minister of Finance promulgates Circular on amendments to some articles of Circular No. 119/2020/TT-BTC dated December 31, 2020 of the Minister of Finance on registration, depository, clearing and settlement of securities and Circular No. 58/2021/TT-BTC dated July 12, 2021 of the Minister of Finance on guidelines for some articles of Government’s Decree No. 158/2020/ND-CP dated December 31, 2020 on derivatives and derivative market.

Article 1. Amendments to some articles of Circular No. 119/2020/TT-BTC dated December 31, 2020 of the Minister of Finance on registration, depository, clearing and settlement of securities

1. Point h clause 3 Article 6 shall be amended as follows:

“h) License for establishment and operation or Certificate of business registration or equivalent papers of the parties transferring ownership (for an organization).”

2. Point c clause 2 Article 17 shall be amended as follows:

“c) Personal identification number of client that is a Vietnamese citizen or Vietnamese resident of undetermined nationality residing in Vietnam; number, date of issue of certificate of business registration, license of establishment and operation or equivalent document in case the client is a domestic organization; number and date of issuance of the securities trading code registration certificate in case the client is a foreign investor;”

Article 2. Replacement of Form No. 01, Form No. 02 of the Appendix enclosed with the Circular No. 58/2021/TT-BTC dated July 12, 2021 of the Minister of Finance on guidelines for some articles of Government’s Decree No. 158/2020/ND-CP dated December 31, 2020 on derivatives and derivative market by Form No. 01, Form No. 02 of the Appendix enclosed with this Circular, respectively.

Article 3. Implementation clauses

1. This Circular enters into force from June 01, 2025.

2. The State Securities Commission, Vietnam Stock Exchange, Hanoi Stock Exchange, Ho Chi Minh Stock Exchange, Vietnam Securities Depository and Clearing Corporation and other relevant organizations and individuals shall be responsible for implementing this Circular./.
